- GENERAL PROVISIONS
1.1 This document constitutes the contract between you, in your capacity as User of the website www.elm.ro and ELM ELECTROMONTAJ CLUJ S.A., in its capacity as owner of the site (hereinafter the "Site" or the "Platform").
1.2 By accessing, browsing and using the website www.elm.ro you confirm that you have taken note of the Terms and Conditions and that you fully accept, understand and comply with them. Failure to accept these Terms and Conditions entails the obligation to immediately cease accessing the Site.
1.3 The provisions of these Terms and Conditions apply for the entire duration of use, a duration that is renewed with each access to the Site.
1.4 The purpose of this document is to set out the purpose of the Site, to establish the conditions for its use, and to outline the limits of access to the news, articles and information-download areas. Furthermore, this document establishes the rights and obligations of each party, as well as their limits of liability.
1.5 EnergoBit reserves the right to update the form and content of the site without prior notice to visitors. These Terms and Conditions may likewise be amended without prior notice to that effect, entering into force from the moment they are published on the site. Visitors are obliged to periodically check the information presented in the clauses of these Terms and Conditions.

2.1 The website is the property of the company ELM ELECTROMONTAJ CLUJ S.A., a Romanian legal entity, established in accordance with Romanian law, with its registered office in the municipality of Cluj-Napoca, str. Traian Vuia, no. 240-242, Cluj county, registered with the Trade Register Office attached to the Cluj Tribunal under no. J12/3821/1991, having tax identification number RO 201594 (hereinafter "Elm Electromontaj Cluj" or the "Company").

3.1 The copyright or other intellectual property rights concerning the texts, images, sounds, software programs, graphics, buttons, web graphic elements, scripts and/or any other data, as well as any other materials within this site, are the exclusive property of Elm Electromontaj Cluj.
3.2 No reproduction of any part of this site may be sold or distributed for commercial purposes, nor may it be modified or used in other works, publications or sites, whether in electronic or printed format. Elm Electromontaj Cluj does not grant the visitors of this site any licence or right over the materials posted and/or downloaded from the site, nor with respect to the content and structure of the platform.
3.3 The information and documents made available by the Company, such as technical presentations, articles, catalogues, brochures or similar materials, may be viewed and downloaded from this site exclusively for personal, non-commercial use and only on condition that all copyright notices and/or other intellectual property notices are retained in these materials.
3.4 The use, without written consent, of any elements on the Elm Electromontaj Cluj site or of any of the components listed above is punishable in accordance with the laws in force. Failure to comply with any of these general conditions will automatically lead to the cancellation of the right to use the site, as well as to the immediate destruction/return by the User of all downloaded and/or printed materials and the payment of damages. 3.5 The User undertakes to notify Elm Electromontaj Cluj immediately of (i) any failure to comply with these general conditions, (ii) any infringement of the intellectual property rights relating to the content of the site, as well as (iii) the commercial use of the materials available on it, where the User has knowledge of or holds information regarding such situations. Notifications may be submitted using the contact details in the section of the site entitled Contact.
- SITE CONTENT
4.1 Elm Electromontaj Cluj provides solutions in the operational field, thus enabling the construction of electrical and transformer substations, of overhead and underground power lines, as well as the refurbishment of 400/220/110/20 kV substations. You can find the full range of products and solutions and their description in the "Services" section.
4.2 The Company does not market or sell any kind of products or services through the platform. The purpose of the site is strictly to inform and to present.
4.3 The Platform contains a News through which the Company periodically posts articles and press releases with news and events in order to keep the site's visitors and clients informed about topics related to its field of activity. Within this section, the Company will upload documents and files such as catalogues and brochures with products or services, as well as presentations and articles with technical content. The User will be able to download these files and will be able to receive up-to-date information by subscribing to the Elm Electromontaj Cluj Newsletter. The subscription process is carried out by filling in the form in the Contact section of the platform and involves the transmission of certain data to the Company. The processing and storage of this data is carried out in accordance with the Privacy Policy displayed on the site.
4.4 Within the site, the Company develops certain projects that have individually dedicated pages and that can be viewed by accessing an extension of the platform www.elm.ro. Through these projects, Elm Electromontaj Cluj presents in an exhaustive manner categories of products or services and information of general and technical usefulness regarding them. Visitors who want additional information, technical support or consultancy regarding the respective products or services will provide the requested data within the form integrated into the page. The User also has the possibility to upload files and technical documentation to be analysed, subsequently being contacted by the Company. The data transmitted through the form is processed and stored in accordance with the Privacy Policy displayed on the site.
4.5 The Site also contains a Careers through which the Company promotes the available programs, internships and positions. A user who is interested in applying for an open position can contact the Company by accessing the Careers (and submitting a CV), each request subsequently being reviewed.
4.6 The information on this site has been entered for the purpose of conveying up-to-date information. Elm Electromontaj Cluj does not guarantee that the information contained in this site is free of errors and assures that it will use all due diligence to provide correct information and to remedy any inconsistencies.
4.7 Elm Electromontaj Cluj reserves the right to make changes, corrections and improvements to this site whenever it considers it appropriate and without prior notice.

5.2 If third-party applications/platforms/websites provide links to the content of www.elm.ro does not implicitly mean that we have any connection with the respective website, nor should you presume our association or affiliation to or with those applications/platforms/websites.

6.1 The Company expressly disclaims any warranty, whether express or implied, regarding the Site and your use of it.
6.2 Elm Electromontaj Cluj does not assume responsibility for printing or display errors with respect to the information presented on the site.
6.3 The Company cannot be held liable for any loss, damage or expense that may arise from accessing or using this site. Likewise, the company is not liable for the damages caused by accessing or using the information or data in the articles and documents displayed on the site and does not offer any guarantees as to their veracity.
6.4 The User agrees to hold Elm Electromontaj Cluj harmless and not to take legal action against it, both with regard to any claim raised by a third party arising from the use of the site, and with regard to any loss (direct, indirect or of another nature), costs, actions, lawsuits, claims, expenses (including legal costs) and/or other liabilities, suffered in any way or caused directly by EnergoBit as a result of the User's breach or disregard of these conditions.

(a) the use of or the inability to use the Site;
(b) statements or conduct of any third party with respect to the Site;
(c) inaccuracies, mistakes or errors in the content;
(d) personal injury or damage to property, regardless of their nature, arising from your access to and use of the Site;
(e) any software defects, viruses, "Trojan horses" or similar entities that may be transmitted to or through the Site by a third party;

7.1 Elm Electromontaj Cluj may display advertisements for the products or services in its offer, as well as for products or services belonging to third parties. By using the Elm Electromontaj Cluj page and by accepting the Terms and Conditions of use, as well as the Privacy Policy, you directly express your consent to be the recipient of these communications of a commercial nature.

8.1 Elm Electromontaj Cluj reserves the right to amend the content of the Terms and Conditions of use at any time, without prior notice to the user.
8.2 We reserve the right to change the content or technical characteristics of any aspect of the platform, at any time, depending on the technical and commercial opportunities analysed and on technological progress. Under these conditions, you accept that you may be unable to access or use the platform throughout the period of the modifications or thereafter.

9.1 The confidentiality of all information, of any nature, that users provide on the Elm Electromontaj Cluj page or to its (the company's) representatives is ensured.

9.3 The User understands that the services are available via the Internet - a network that is not under the direct or indirect control of Elm Electromontaj Cluj. 9.5 Users who compromise the security of the Elm Electromontaj Cluj systems or networks or who threaten their integrity will bear the consequences (criminal or civil) established by the applicable legal rules in force.
- FORCE MAJEURE
10.1 Force majeure is the unforeseeable event, beyond the control of the parties and which cannot be avoided. The Company cannot be held responsible for any delay and/or error in the content provided, resulting directly or indirectly from causes that do not depend on its will.
10.2 This exemption includes, but is not limited to: malfunctions of the technical equipment at Elm Electromontaj Cluj, failure of the Internet connection, failure of the telephone connections, computer viruses, unauthorised access to the Elm Electromontaj Cluj systems, operating errors, as well as the cases of force majeure stipulated by the Romanian legislation in force.
- APPLICABLE LAW AND DISPUTES
11.1 By accessing this site, the User accepts that this contract and any dispute related to it are governed and interpreted in accordance with Romanian law, and the User agrees to submit to the exclusive jurisdiction of the courts of law within the territory of Romania.
11.2 This website may be accessed from anywhere within the territory of Romania and outside it (in other states), to the extent that the technical conditions allow it. Elm Electromontaj Cluj does not offer any guarantee that the site complies with the laws (including intellectual property laws) of countries other than Romania. If the User accesses the platform from outside Romania, they do so at their own risk, being solely responsible for complying with the laws of the territory in which they are located.
11.3 In the event of any dispute concerning the relationship or the contract, or arising from or in connection with its conclusion, interpretation, performance or termination, it will be settled amicably. If this is not possible, the resolution of the conflicts falls within the exclusive competence of the competent courts of Cluj-Napoca.
11.4 In the event that any of the clauses of this Document is declared null or inapplicable, the remaining clauses will continue to produce their effects, and the clause declared null or inapplicable will be replaced by a new clause that reflects as closely as possible the will of the Company.
